Responsibilities:

  • Providing compliance of legitimacy of draft contracts, amendments, orders, instructions and other legal documents submitted for signature;
  • To provide approval of legal documents within its competence in the framework of Segregation of Duties active in the Group;  
  • To control the work of the lawyer functionally assigned to him/her;
  • Conducting contract work, determining the form of contracts, developing draft contracts, verifying contract projects compliance with the legislation, taking measures to resolve disagreements on a draft contract, providing notarization and (or) the state registration of certain types of contracts;
  • Analyzing contract work, developing programs for its review and updates, checking  the status of contract work in the departments of the Group.

  • Leading work with claims, providing records of claims received from clients/contractors, their examination, preparing responses to incoming claims and receiving draft decisions to accept or to reject the claims received, preparing claims against clients/contractors, controlling over the satisfaction of claims directed to clients/contractors;
  • Leading litigation, taking steps on compiling with the pre-trial order solutions in contract disputes, preparing statements of claims and the materials and sending them to the courts, analyzing the claims petitions to the Group, ensuring the maintenance of a database on the litigation, represents the interests of the Group in the courts;
  • Preparing applications, statements and other documents in order to obtain licenses and permits required for the activities of the Group;
  • Checking the legality of dismissal and transfer of employees, the imposition of disciplinary sanctions and other HR related issues;
  • Representing the interests of the Group in inspections conducted at the Group by state regulatory authorities to monitor compliance with the legal proceedings of inspectors, in order to check validity and correctness of the conclusions of the inspectors;
  • Preparing of legal opinions (corporate, tax, labour) on request of Group`s department heads;
  • Representing the Group in the state supervisory bodies, preparing and sending p against the officials of the state supervisory authorities for illegally imposed administrative penalties on the Branch.

  • Carrying out development of the foundation documents, providing the registration of legal entities;

  • Providing the subdivision of enterprise, individual specialists with the normative legal acts in order to carry out their duties and responsibilities;

  • Performing written and oral advice to the Departments of the Branch on various legal matters, providing legal assistance in drafting of legal documents.

  • Undertake responsibility to comply with all the Occupation Health, Safety and Sanitation requirements applied within the company
  • Additional tasks as requested
  • To maintain total confidentiality

 

Essential criteria & qualifications:

  • LLM (Master of Law) or equivalent qualification
  • Specific experience in contracts drafting, especially in oil and gas, construction sectors.
  • Azerbaijan – excellent

English - excellent   

Russian – good

  • MS Office
  • 5 years of experience in oil-gas, construction and corporate sphere

  • Good negotiations skills.
  • Independency and ability to work under pressure.
  • Team working, time management.
